These terms apply to all Software-as-a-Service (SaaS) subscriptions supplied by AmbroTech Ltd (“we”, “us”, or “our”) to our customers (“you”, “your”) and are referenced in our service agreements. By engaging our services or continuing to use our SaaS offerings, you agree to these terms.
1. Scope of SaaS Subscriptions
Our SaaS offerings cover software subscriptions procured and managed on your behalf. This includes, but is not limited to:
- Microsoft 365 (Business Basic, Standard, Premium)
- Google Workspace
- ESET Cloud Security
- Dropbox Business
- Other cloud or vendor-based software platforms
We procure these services from authorised distributors or directly from the vendors. You are granted a licence to use the software, subject to the vendor’s end-user terms.
2. Payment Terms
Unless otherwise agreed in writing:
- All SaaS subscriptions are billed monthly or annually in advance.
- Payment is due within 7 days of the invoice date unless otherwise specified.
- Pricing is based on the number of active licences at the point of billing and may vary month-to-month where quantities or products change.
Late payment may result in service suspension. See Section 6.
3. Changes to Subscriptions
You may request changes (e.g. add/remove users, upgrade/downgrade plans) at any time via email or the support portal.
- Upgrades take effect immediately.
- Downgrades or reductions in user count may only take effect at the end of the current billing period and are subject to vendor terms.
Some vendors (e.g. Microsoft) have strict change windows and minimum commitment periods. We will advise you where applicable.
4. Cancellation Policy
Subscriptions are managed in line with vendor-specific cancellation rules. However, the following general policy applies:
- A minimum of 30 days’ notice is required for cancellation of any subscription, unless vendor terms require longer.
- Early termination of a subscription with a fixed term (e.g. Microsoft 365 annual commitments) may incur a buyout or cancellation fee as defined by the vendor.
Notice of cancellation must be submitted in writing to [email protected] or via our support portal.
5. Renewals
Unless cancelled in accordance with Section 4, all SaaS subscriptions will automatically renew on a rolling basis—monthly or annually, as originally contracted.
We will provide reasonable notice of any vendor-driven pricing or term changes where possible.
6. Non-Payment and Suspension
If payment is not received within the agreed terms:
- A reminder will be sent after 7 days overdue.
- If still unpaid at 14 days overdue, services may be suspended without further notice.
- Continued non-payment beyond 30 days may result in permanent cancellation of services, data loss, and referral to a debt collection agency.
Reinstatement of suspended services may incur a reactivation fee and will depend on vendor policy.
7. Liability and Responsibility
We act as your procurement and support partner for SaaS solutions but are not the software vendor. Therefore:
- You are bound by the vendor’s end-user licence agreement (EULA) or terms of service.
- We will provide reasonable assistance in provisioning, support, and management of your subscription but are not liable for vendor outages, loss of access, or software defects.
- You are responsible for your data within the platform unless separate backup or continuity services are in place.
8. Fair Use and Abuse
You agree to use all SaaS products in accordance with their intended purpose and not to engage in any misuse that could result in suspension by the vendor.
9. Dispute Resolution
In the event of a dispute regarding your SaaS subscription:

- If unresolved, complaints can be escalated internally for management review.
- Contractual disputes will be governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.
